1. Overview and Acceptance of Terms

Welcome to Plushophile.

These Terms of Service ("Terms") constitute a legally binding agreement between STFD LLC, a California limited liability company doing business as Plushophile ("STFD LLC," "STFD," "Plushophile," "we," "our," or "us") and you, the individual accessing or using our Services ("Customer," "you," or "your").

These Terms govern your access to and use of our website, products, services, applications, communications, and all related offerings made available by Plushophile, including any purchases made through our website.

Our online store is powered by Shopify, which provides the e-commerce platform through which we offer our Services. Shopify is not a party to this agreement, and all purchases are made directly between you and Plushophile.

By accessing our website, placing an order, purchasing any product or service, submitting a Modification Item, requesting Modification Services, purchasing Media Services, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by:

If you do not agree to these Terms, you may not access or use our Services.

2. Definitions

For purposes of these Terms, the following definitions apply:

"Services"

"Services" means all products, services, digital content, websites, applications, communications, customization services, media services, customer support, and other offerings made available by STFD LLC under the Plushophile brand.

"Products"

"Products" means any physical goods offered for sale through our Services, including but not limited to one-of-a-kind items, handmade items, modified items, collectible items, novelty items, apparel, accessories, and other merchandise offered by STFD LLC.

"Modification Item"

"Modification Item" means any item that is the subject of a requested modification service, regardless of whether the item:

  • is supplied by the Customer for modification; or
  • is purchased from STFD LLC for modification before shipment.

Unless expressly stated otherwise, all references throughout these Terms to a Modification Item apply equally to both categories.

"Modification Services"

"Modification Services" means any alteration, customization, enhancement, repair, reconstruction, restoration, embellishment, installation, removal, attachment, finishing, or other work performed by Plushophile on a Modification Item.

Modification Services are governed by these Terms and by the separate Modification Services Terms, which are incorporated into these Terms by reference.

"Media Services"

"Media Services" means any photography, videography, audio recording, editing, publishing, promotional recording, private recording, digital media production, or related services performed by Plushophile in connection with a Modification Item.

Media Services include both:

  • Complimentary Promotional Videos; and
  • Paid Private Keepsake Videos.

Media Services are governed by these Terms and by the separate Media Recording & Content License Terms, which are incorporated into these Terms by reference.

3. Eligibility

By accessing or using our Services, you represent and warrant that:

  • you are at least eighteen (18) years of age;
  • you have the legal capacity to enter into binding contracts;
  • all information you provide to STFD LLC is accurate, current, and complete;
  • you are purchasing Products and Services solely for lawful purposes; and
  • you will comply with these Terms and all applicable laws.

You may not purchase Products or Services on behalf of another individual unless you are legally authorized to do so.

If you create an account with us, you are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.

We reserve the right to suspend or terminate accounts that contain false information or that are used in violation of these Terms.

4. Orders

All orders submitted through our Services constitute an offer to purchase Products and/or Services from Plushophile.

An order is not accepted until Plushophile has successfully processed payment and transmitted an order confirmation.

We reserve the right, in our reasonable discretion, to refuse, cancel, limit, or delay any order, including where we reasonably believe:

  • fraud or unauthorized activity may be involved;
  • payment cannot be verified;
  • inventory is unavailable;
  • pricing or product information contains an error;
  • a Product or Service has been discontinued;
  • the requested Modification Services cannot reasonably be completed;
  • the requested Media Services cannot reasonably be completed; or
  • fulfillment would violate applicable law or these Terms.

For fraud prevention purposes, we may verify billing information, shipping addresses, payment methods, device information, IP addresses, customer history, tamper-evident seal records, and other information reasonably necessary to protect our business and customers.

Customers agree not to initiate fraudulent payment disputes or chargebacks. In the event of a payment dispute, STFD LLC may provide order records, tracking information, tamper-evident seal serial number records, photographs, customer communications, checkout acknowledgements, policy acceptances, and any other relevant documentation to the payment processor or financial institution investigating the dispute.

Orders involving Modification Services or Media Services may require additional review before acceptance.

5. Products

Plushophile specializes in handmade, customized, one-of-a-kind, collectible, novelty, and entertainment products.

Many of our Products incorporate handmade workmanship, repurposed materials, previously used materials, natural materials, or individually customized features. As a result, variations in appearance, color, texture, finish, stitching, dimensions, hardware, distressing, materials, and overall character are expected and are not defects.

Unless expressly stated otherwise, all Products are sold strictly as novelty, collectible, and entertainment items.

Products are not medical devices, are not intended for diagnosis, treatment, prevention, or mitigation of any medical condition, and are not certified or warranted for any particular purpose.

All Products are provided AS IS, WITH ALL FAULTS, and without any guarantee of merchantability or fitness for a particular purpose except where such disclaimers are prohibited by applicable law.

Customers are solely responsible for determining whether any Product is appropriate for their intended use.

Product photographs, mockups, renderings, examples, and digital previews are provided for illustrative purposes only. Actual Products may differ due to:

  • handcrafted production;
  • customization;
  • natural material variation;
  • lighting;
  • display settings;
  • monitor calibration;
  • photography; or
  • the use of upcycled or repurposed materials.

Such differences do not constitute defects or misrepresentations.

Because many Products are produced in limited quantities or are unique, Plushophile reserves the right to discontinue, modify, substitute, or limit the availability of any Product at any time without prior notice.

6. Modification Services

Plushophile offers Modification Services for eligible Modification Items.

Modification Services may be performed on:

  • Modification Items supplied by the Customer; and
  • Modification Items purchased from Plushophile for modification prior to shipment.

All Modification Services are governed by these Terms and by the separate Modification Services Terms, which are incorporated into these Terms by reference as though fully set forth herein.

Customers requesting Modification Services acknowledge and agree that:

  • Modification Services are custom services performed specifically for the Customer.
  • Certain modifications are permanent and irreversible.
  • Slight variations in appearance, finish, materials, dimensions, stitching, hardware placement, coloration, distressing, or other handmade characteristics are normal and do not constitute defects.
  • Acceptance of payment does not obligate Plushophile to perform Modification Services if, following inspection, we determine in our reasonable discretion that the requested work cannot or should not be completed.

Customers submitting a Modification Item further acknowledge that:

  • the item may be rejected if it does not satisfy the cleanliness, safety, or submission requirements described in the Modification Services Terms;
  • return shipping charges, handling fees, abandonment provisions, and inspection procedures are governed by the Modification Services Terms; and
  • all Modification Services remain subject to our right to refuse service in our reasonable discretion.

For customer-owned Modification Items, the Customer retains the risk of loss until the item is delivered to STFD LLC. Following completion of the requested services, risk of loss transfers back to the Customer when the Modification Item is tendered to the selected shipping carrier for return shipment.

 

 

7. Media Recording Services

Plushophile may offer Media Services in connection with eligible Modification Items.

Media Services may include, without limitation:

  • photography;
  • videography;
  • audio recording;
  • promotional recordings;
  • private keepsake recordings;
  • editing;
  • post-production;
  • publishing; and
  • related digital media services.

Media Services are governed by these Terms and by the separate Media Recording & Content License Terms, which are incorporated into these Terms by reference.

Customers acknowledge that:

  • Promotional recordings and Private Keepsake recordings are separate services with different rights and permissions.
  • All copyrights and intellectual property rights in recordings remain exclusively owned by STFD LLC.
  • Purchasing or receiving a recording does not transfer ownership of the recording or any related intellectual property.
  • Customers receive only the limited license expressly granted in the Media Recording & Content License Terms.

Customers selecting any Media Services further acknowledge that the requested service may involve physical interaction with the Modification Item and expressly agree to the disclosures, acknowledgments, responsibilities, and assumption of risk described in the Media Recording & Content License Terms.

Nothing in this section shall limit Plushophile's ownership of any photographs, videos, recordings, edits, derivative works, or other media created in connection with our Services.

 

 

8. Pricing and Payment

All prices are listed in United States Dollars (USD) unless expressly stated otherwise.

Prices, product availability, service offerings, shipping rates, and applicable fees may change without prior notice.

The price applicable to an order is the price displayed at the time the order is submitted.

Customers authorize Plushophile and its payment processors to charge all applicable amounts associated with an order, including, where applicable:

  • Product prices;
  • Modification Service fees;
  • Media Service fees;
  • Shipping charges;
  • Return shipping charges;
  • Handling fees;
  • Applicable taxes;
  • Customs-related charges collected at checkout, if applicable; and
  • Any other fees expressly disclosed before purchase.

Orders will not be processed until payment has been successfully authorized.

If payment authorization fails or is later reversed, Plushophile may suspend fulfillment, cancel the order, or pursue any lawful remedies available.

Customers agree not to initiate fraudulent chargebacks or payment disputes.

If a payment dispute is initiated, Plushophile may provide payment processors, financial institutions, or dispute resolution providers with documentation reasonably necessary to investigate the transaction, including:

  • order records;
  • invoices;
  • shipping records;
  • tracking information;
  • customer communications;
  • checkout acknowledgments;
  • policy acceptances;
  • tamper-evident seal records;
  • photographs; and
  • any other relevant business records.

 

 

9. Shipping

Shipping of Products and Modification Items is governed by these Terms and by the separate Shipping Policy, which is incorporated into these Terms by reference.

Customers purchasing Products acknowledge that estimated delivery dates are estimates only and are not guaranteed.

For customer-owned Modification Items, Customers are responsible for:

  • securely packaging the Modification Item;
  • arranging shipment to STFD LLC;
  • purchasing any desired shipping insurance; and
  • complying with all shipping instructions published by Plushophile.

Customers are encouraged to use trackable shipping methods.

Upon completion of Modification Services, Customers may:

  • include a prepaid return shipping label with their shipment; or
  • pay return shipping after completion of the requested services.

If return shipping charges remain unpaid for more than thirty (30) days following invoicing, Plushophile may treat the Modification Item as abandoned in accordance with the Modification Services Terms.

International Customers are responsible for complying with all import and export laws and for paying all customs duties, taxes, brokerage fees, or similar governmental charges unless expressly stated otherwise.

Additional shipping terms, inspection procedures, and delivery requirements are described in the Shipping Policy.

 

 

10. Returns and Refunds

Returns, refunds, exchanges, cancellations, and service-related refunds are governed by these Terms, the separate Return & Refund Policy, and, where applicable, the Modification Services Terms.

Products sealed for hygiene or safety reasons become non-returnable once the original packaging has been opened or any tamper-evident seal has been broken or damaged, except where applicable law requires otherwise.

Customers requesting returns must comply with all eligibility requirements, inspection procedures, documentation requirements, and return authorization procedures described in the Return & Refund Policy.

Modification Services are custom services.

Except where expressly provided in the Modification Services Terms or required by applicable law:

  • Modification Service fees become non-refundable once work has begun.
  • Modification Services may not be canceled after modification work has commenced.
  • Private Media Service fees become non-refundable once production of the requested recording has begun.
  • Complimentary promotional recordings have no cash value and are not eligible for refund or substitution.

Nothing contained in this section limits any rights that cannot legally be waived under applicable consumer protection laws.

Customers are encouraged to review the applicable Return & Refund Policy and Modification Services Terms before placing an order or submitting a Modification Item.

11. Intellectual Property

All content made available through the Services, including but not limited to text, graphics, logos, icons, artwork, illustrations, photographs, videos, audio recordings, designs, mockups, software, source code, documentation, page layouts, product descriptions, digital downloads, databases, compilations, trademarks, service marks, trade dress, and other creative works (collectively, the "STFD LLC Intellectual Property") are owned by or licensed to STFD LLC and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

Nothing contained in these Terms transfers ownership of any STFD LLC Intellectual Property to the Customer.

Customers receive only the limited right to access and use the Services for their personal, lawful, non-commercial purposes.

Modification Items

Ownership of a customer-owned Modification Item remains with the Customer.

Ownership of a Modification Item purchased directly from Plushophile transfers to the Customer when the Modification Item is tendered to the selected shipping carrier for return shipment, subject to these Terms.

The performance of Modification Services does not transfer ownership of any STFD LLC Intellectual Property incorporated into the modification process.

Media Services

All photographs, videos, audio recordings, edits, graphics, captions, thumbnails, derivative works, compilations, and other media created by Plushophile remain the exclusive intellectual property of STFD LLC.

Customer rights relating to media recordings are governed exclusively by the Media Recording & Content License Terms.

Trademarks

"Plushophile," associated logos, slogans, branding elements, and all related trademarks and service marks are the property of STFD LLC or its licensors.

Customers may not use any STFD LLC trademarks without prior written permission.

12. User Content and Feedback

Customers may voluntarily submit content to Plushophile, including but not limited to:

  • modification requests;
  • design ideas;
  • written instructions;
  • sketches;
  • photographs;
  • reference images;
  • videos;
  • reviews;
  • testimonials;
  • emails;
  • messages;
  • comments;
  • suggestions; and
  • other communications (collectively, "User Content").

The Customer represents and warrants that they own, or have all necessary rights and permissions to submit, all User Content provided to Plushophile.

By submitting User Content, the Customer grants Plushophile a non-exclusive, worldwide, royalty-free license to use, reproduce, display, transmit, store, modify, adapt, and reproduce such User Content solely as reasonably necessary to:

  • provide the requested Services;
  • communicate with the Customer;
  • create requested modifications;
  • produce requested Media Services;
  • improve our Services;
  • comply with legal obligations; and
  • resolve disputes.

Except where separately authorized by the Customer, Plushophile will not use customer-submitted photographs or other User Content for public advertising or promotional purposes.

Feedback

If the Customer voluntarily provides ideas, suggestions, recommendations, improvements, or other feedback relating to our Services ("Feedback"), Plushophile may use such Feedback without restriction and without compensation.

Customers acknowledge that Plushophile is under no obligation to implement any Feedback.

13. Prohibited Uses

Customers agree not to use the Services or any Products for any unlawful purpose or in any manner that:

  • violates applicable laws or regulations;
  • infringes the rights of another person;
  • violates intellectual property rights;
  • involves fraud or deception;
  • impersonates another individual or business;
  • interferes with the operation or security of the Services;
  • transmits malicious software or harmful code;
  • circumvents security measures;
  • attempts unauthorized access to our systems;
  • harvests or collects personal information without authorization;
  • submits false or misleading information;
  • abuses our return policies;
  • manipulates Modification Services through deceptive instructions;
  • submits contaminated or unsafe Modification Items;
  • attempts to reuse or counterfeit tamper-evident seals;
  • interferes with Media Services or attempts unauthorized recording of our personnel; or
  • otherwise uses the Services in a manner inconsistent with these Terms.

We reserve the right to suspend or terminate access to the Services where we reasonably believe these Terms have been violated.

14. Fraud Prevention and Chargebacks

Plushophile actively monitors transactions for fraud, abuse, unauthorized activity, and violations of these Terms.

To protect our customers and our business, we may review information including:

  • billing information;
  • shipping information;
  • payment verification;
  • device information;
  • IP address information;
  • account history;
  • prior transaction history;
  • Modification Item history;
  • tamper-evident seal serial number records;
  • shipping carrier records;
  • customer communications; and
  • other information reasonably necessary to investigate suspicious activity.

Orders may be delayed, canceled, refused, or placed on hold pending additional verification.

Customers agree not to initiate payment disputes or chargebacks in bad faith.

In the event of a chargeback, payment dispute, or fraud investigation, Plushophile may provide payment processors, financial institutions, arbitration providers, courts, law enforcement agencies, insurers, or other appropriate entities with documentation reasonably necessary to investigate or defend the transaction, including:

  • invoices;
  • order records;
  • photographs;
  • Media Service records;
  • shipping records;
  • delivery confirmations;
  • customer correspondence;
  • checkout acknowledgments;
  • accepted policies;
  • tamper-evident seal records;
  • verification photographs;
  • and other relevant business records.

STFD LLC reserves all rights to pursue recovery of unpaid amounts, chargeback fees, collection costs, attorneys' fees where permitted by law, and any other remedies available under applicable law.

15. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS, MODIFICATION SERVICES, MEDIA SERVICES, DIGITAL CONTENT, AND OTHER SERVICES PROVIDED BY STFD LLC ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

STFD LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION:

  • any implied warranty of merchantability;
  • any implied warranty of fitness for a particular purpose;
  • any warranty of title;
  • any warranty against infringement;
  • any warranty arising from course of dealing, course of performance, or usage of trade; and
  • any warranty that the Services will be uninterrupted, secure, or error-free.

Unless expressly stated otherwise, Products sold by Plushophile are intended solely as novelty, collectible, and entertainment items.

Products are not medical devices and are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

Because many Products and Modification Services involve handmade craftsmanship, individually customized work, repurposed materials, natural materials, or one-of-a-kind production methods, Plushophile does not warrant that any Product or completed Modification Item will exactly match digital previews, mockups, sketches, examples, color samples, customer expectations, or previous work.

Nothing contained in these Terms excludes or limits any warranty that cannot legally be disclaimed under applicable law.

16. Assumption of Risk

The Customer acknowledges that the Products and Services offered by Plushophile may involve inherent risks that cannot be completely eliminated.

By purchasing Products, requesting Modification Services, selecting Media Services, or otherwise using the Services, the Customer voluntarily assumes all ordinary and reasonably foreseeable risks associated with:

  • purchasing, possessing, transporting, handling, displaying, storing, cleaning, maintaining, or otherwise using Products;
  • submitting, shipping, or receiving a Modification Item;
  • permanent or irreversible modifications performed pursuant to Customer instructions;
  • variations resulting from handmade craftsmanship or one-of-a-kind production methods;
  • Media Services involving physical interaction with a Modification Item;
  • the return of a Modification Item following completion of requested Media Services;
  • the need to inspect, clean, disinfect, sanitize, launder, or otherwise prepare a Modification Item before future handling or use;
  • ordinary wear, aging, material characteristics, or inherent limitations of the Modification Item; and
  • any other ordinary and reasonably foreseeable risks arising from the Products or Services requested by the Customer.

The Customer further acknowledges that they remain solely responsible for determining whether any Product or Modification Item is appropriate for their intended use.

Nothing contained in this section limits any rights that cannot legally be waived under applicable law.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STFD LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • lost profits;
  • loss of business;
  • loss of goodwill;
  • loss of data;
  • emotional distress;
  • loss of use;
  • diminution in value;
  • replacement costs; or
  • any similar damages,

WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE.

Except where a different limitation is expressly stated in these Terms or the Modification Services Terms, STFD LLC's aggregate liability arising out of any single order, transaction, Product, Modification Item, Modification Service, or Media Service shall not exceed the greater of:

  • One Hundred United States Dollars (US $100.00); or
  • the total amount actually paid by the Customer for the applicable order.

For customer-owned Modification Items, the liability limitations contained in the Modification Services Terms shall govern to the extent they are more specific than this section.

Nothing contained herein limits liability where such limitation is prohibited by applicable law.

18. Indemnification

The Customer agrees to defend, indemnify, and hold harmless STFD LLC, its members, managers, officers, employees, contractors, agents, successors, assigns, licensors, and affiliates from and against any and all claims, demands, actions, proceedings, damages, liabilities, judgments, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • the Customer's breach of these Terms;
  • violation of applicable law;
  • submission of contaminated, unsafe, prohibited, or unlawful Modification Items;
  • infringement of intellectual property rights;
  • submission of User Content that the Customer did not have authority to provide;
  • unauthorized requests to modify another person's property;
  • misuse of Products or Services;
  • fraudulent payment disputes or chargebacks;
  • false or misleading representations made by the Customer; or
  • any negligent or wrongful conduct by the Customer.

This indemnification obligation shall survive completion of the Services and termination of these Terms.

19. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, Products, Modification Services, Media Services, or any transaction between the Customer and STFD LLC shall be resolved exclusively through final and binding arbitration.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules then in effect, unless the parties mutually agree otherwise.

The arbitration shall take place in Sacramento County, California, unless applicable law requires a different venue.

Each party shall bear its own attorneys' fees and costs unless otherwise awarded by the arbitrator or required by applicable law.

Class Action Waiver

To the fullest extent permitted by law, the Customer and STFD LLC agree that all claims shall be brought solely in an individual capacity.

Neither party may participate in any class action, collective action, consolidated action, representative proceeding, private attorney general action, or similar proceeding.

The arbitrator shall have no authority to consolidate claims involving multiple customers or to preside over any representative proceeding.

If any portion of this arbitration agreement or class action waiver is determined to be unenforceable, the remaining portions shall remain in full force and effect to the maximum extent permitted by law.

Nothing contained in this section prevents either party from seeking temporary injunctive relief or pursuing claims that cannot legally be submitted to arbitration.

20. Governing Law

These Terms, the Services, all related policies incorporated by reference, and any disputes arising out of or relating to the relationship between STFD LLC and the Customer shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

For matters not subject to binding arbitration, the Customer and STFD LLC agree that the state and federal courts located in Sacramento County, California shall have exclusive jurisdiction, except where applicable law requires otherwise.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

The failure of STFD LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

These Terms, together with the Privacy Policy, Shipping Policy, Return & Refund Policy, Modification Services Terms, Media Recording & Content License Terms, and any additional agreements expressly incorporated by reference, constitute the entire agreement between STFD LLC and the Customer regarding the Services and supersede all prior or contemporaneous communications, understandings, or agreements relating to their subject matter.

In the event of any inconsistency between these Terms and another Plushophile policy, the documents shall be interpreted together to the maximum extent possible. To the extent a conflict remains, the policy that more specifically governs the applicable Product or Service shall control.

21. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, Return & Refund Policy, Modification Services Terms, Media Recording & Content License Terms, and any additional agreements or policies expressly incorporated by reference, constitute the entire agreement between STFD LLC and the Customer regarding the Services and supersede all prior or contemporaneous understandings, negotiations, representations, warranties, communications, or agreements relating to their subject matter.

Order of Precedence

The documents identified above are intended to be interpreted together to the maximum extent possible.

If an inconsistency remains after interpreting the documents together, the document that more specifically governs the applicable Product, Service, Modification Service, Media Service, or transaction shall control with respect to that subject matter.

Amendments

STFD LLC reserves the right to modify these Terms at any time in our reasonable discretion. Updated Terms will become effective upon publication on our website unless a different effective date is stated.

Your continued access to or use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

No Waiver

No failure or delay by STFD LLC in exercising any right, remedy, or provision under these Terms shall constitute a waiver of that right or any other right.

Any waiver must be in writing and signed by an authorized representative of STFD LLC.

Assignment

The Customer may not assign or transfer any rights or obligations under these Terms without the prior written consent of STFD LLC.

STFD LLC may assign or transfer these Terms, in whole or in part, without restriction in connection with a merger, acquisition, sale of assets, corporate reorganization, or other lawful business transaction.

Force Majeure

STFD LLC shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, labor disputes, governmental actions, pandemics, interruptions in transportation or utilities, supply chain disruptions, cyberattacks, internet outages, or failures of third-party service providers.

Survival

Any provisions of these Terms that by their nature should survive termination, including but not limited to provisions relating to intellectual property, payment obligations, limitation of liability, indemnification, dispute resolution, arbitration, governing law, warranties, and ownership rights, shall survive the termination or expiration of these Terms.
