Media Recording & Content License Terms

1. Overview and Acceptance
These Media Recording & Content License Terms ("Media Terms") constitute a legally binding agreement between STFD LLC, a California limited liability company doing business as Plushophile ("STFD LLC," "Plushophile," "we," "our," or "us") and you, the individual purchasing or requesting Media Services ("Customer," "you," or "your").
These Media Terms govern all Media Services performed by Plushophile in connection with any Modification Item.
Media Services may be provided in connection with:
- a Customer-Owned Modification Item submitted to Plushophile for Modification Services; or
- a Plushophile Inventory Modification Item modified by Plushophile prior to shipment.
These Media Terms are incorporated into and form part of the Terms of Service. In the event of any inconsistency between these Media Terms and the Terms of Service, these Media Terms shall control with respect to Media Services, Recordings, intellectual property rights, and licenses relating to Media Services.
By selecting a Media Service, purchasing a Private Keepsake Video, selecting a Complimentary Promotional Video, downloading a Recording, or otherwise using any Media Services, you acknowledge that you have read, understood, and agree to be bound by:
- these Media Recording & Content License Terms;
- the Terms of Service;
- the Modification Services Terms;
- the Shipping Policy;
- the Return & Refund Policy;
- the Privacy Policy; and
- any additional policies or agreements expressly incorporated by reference.
If you do not agree to these Media Terms, you should not request or purchase Media Services.
2. Definitions
Unless otherwise defined in the Terms of Service, the following definitions apply to these Media Terms.
"Media Services"
"Media Services" means any photography, videography, audio recording, editing, post-production, publishing, digital media production, promotional recording, private keepsake recording, or related creative services performed by Plushophile in connection with a Modification Item.
"Recording"
"Recording" means any video, photograph, audio recording, still image, digital file, edited production, compilation, thumbnail, caption, graphic, animation, derivative work, metadata, or other media created by Plushophile as part of the Media Services.
"Complimentary Promotional Video"
A "Complimentary Promotional Video" is a Recording created by Plushophile at no additional charge in exchange for the Customer granting the promotional rights described in these Media Terms.
"Private Keepsake Video"
A "Private Keepsake Video" is a Recording purchased by the Customer for the additional fee displayed during checkout and delivered privately to the Customer pursuant to these Media Terms.
"Modification Item"
"Modification Item" has the meaning assigned in the Terms of Service and Modification Services Terms and includes both Customer-Owned Modification Items and Plushophile Inventory Modification Items.
"Promotional Use"
"Promotional Use" means the publication, reproduction, display, performance, distribution, transmission, editing, advertising, marketing, educational use, archival use, social media publication, commercial use, or other lawful use of a Recording by Plushophile or its assigns.
3. Media Service Options
Plushophile may offer Customers one or more Media Service options in connection with eligible Modification Services.
Available options may include:
No Video
Customers may elect not to receive any Media Services.
If no Media Service is selected, Plushophile has no obligation to create or retain any Recording unless otherwise required for internal business purposes.
Complimentary Promotional Video
Customers may request a Complimentary Promotional Video.
If selected:
- no additional Media Service fee is charged;
- Plushophile may create one or more Recordings featuring the Modification Item;
- the Customer grants Plushophile the Promotional Use rights described in these Media Terms; and
- Plushophile retains exclusive ownership of all Recordings.
The creation of a Complimentary Promotional Video is not guaranteed and remains subject to Section 13 of these Media Terms.
Private Keepsake Video
Customers may instead purchase a Private Keepsake Video for the additional fee displayed during checkout.
If selected:
- Plushophile will use commercially reasonable efforts to produce a private Recording;
- the Recording will be delivered directly to the Customer;
- Plushophile will not intentionally publish the Recording publicly without the Customer's subsequent written authorization; and
- ownership of the Recording remains exclusively with Plushophile.
Payment of the Private Keepsake Video fee purchases only the Media Service and the limited license granted under these Media Terms.
No ownership or copyright interest is transferred to the Customer.
4. Ownership of Recordings
All Recordings created by STFD LLC, including all associated:
- video files;
- photographs;
- audio recordings;
- still images;
- edits;
- captions;
- thumbnails;
- graphics;
- animations;
- compilations;
- derivative works;
- metadata; and
- other creative works,
are and shall remain the exclusive property of STFD LLC.
Nothing contained in these Media Terms transfers ownership of any Recording or any related intellectual property to the Customer.
The Customer purchases only the requested Media Service and receives only the limited license expressly granted in Section 5.
Nothing in these Media Terms creates a "work made for hire," joint authorship, partnership, or co-ownership of any Recording.
5. License Granted to Customer
Upon delivery of a completed Private Keepsake Video or other Recording expressly intended for Customer delivery, STFD LLC grants the Customer a perpetual, worldwide, non-exclusive, non-transferable, revocable license to:
- download the Recording;
- retain copies of the Recording;
- privately view the Recording;
- privately display the Recording; and
- maintain the Recording for the Customer's personal, non-commercial purposes.
Except as expressly provided in these Media Terms, no other rights are granted.
The license granted herein does not include the right to:
- upload the video to any social media or video sharing platform or service;
- reproduce the Recording for commercial purposes;
- sell, license, assign, sublicense, or otherwise transfer the Recording;
- claim authorship or ownership;
- remove copyright notices;
- commercially exploit the Recording;
- register the Recording for copyright;
- create commercial derivative works; or
- use the Recording in advertising, endorsements, promotions, or other commercial activities without the prior written consent of STFD LLC.
All rights not expressly granted to the Customer are reserved exclusively by STFD LLC.
6. Customer Restrictions
Except as expressly authorized in these Media Terms or otherwise approved in writing by STFD LLC, the Customer shall not:
- sell, assign, sublicense, transfer, lease, or otherwise distribute any Recording;
- commercially exploit any Recording;
- use any Recording in connection with advertising, endorsements, sponsorships, promotions, or commercial activities;
- claim authorship or ownership of any Recording;
- remove, alter, obscure, or modify any copyright notice, watermark, trademark, metadata, or proprietary designation associated with any Recording;
- register or attempt to register any copyright or other intellectual property rights in any Recording;
- create commercial derivative works based upon any Recording;
- use any Recording in a manner that infringes the intellectual property rights of STFD LLC;
- misrepresent the origin, authorship, or ownership of any Recording; or
- otherwise use any Recording in any manner inconsistent with these Media Terms.
Nothing contained in these Media Terms limits the Customer's right to exercise the limited license expressly granted in Section 5.
7. Promotional Release
If the Customer selects a Complimentary Promotional Video, the Customer grants STFD LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to photograph, record, reproduce, display, perform, distribute, publish, edit, adapt, modify, archive, transmit, synchronize, combine with other works, create derivative works from, and otherwise use the resulting Recording for any lawful business purpose.
For purposes of these Media Terms, Promotional Use includes, without limitation:
- advertising;
- marketing;
- social media;
- websites;
- printed materials;
- digital publications;
- email campaigns;
- educational materials;
- instructional content;
- product demonstrations;
- convention displays;
- trade show presentations;
- portfolio displays;
- internal training;
- investor presentations;
- public relations;
- press materials;
- archival purposes;
- historical documentation;
- future derivative works;
- future promotional campaigns;
- and any other lawful commercial or non-commercial purpose using media formats or technologies now known or later developed.
The Customer acknowledges that no additional compensation, royalty, residual payment, licensing fee, or other consideration shall be owed for any Promotional Use authorized under these Media Terms.
The Customer further authorizes STFD LLC to use photographs, still images, excerpts, clips, edited versions, compilations, captions, graphics, animations, and other derivative works created from the Recording in connection with any authorized Promotional Use.
8. Copyright
All Recordings and all associated creative works produced by STFD LLC are protected by United States copyright laws, international copyright treaties, and other applicable intellectual property laws.
STFD LLC is and shall remain the sole and exclusive owner of all copyrights and other intellectual property rights in every Recording created pursuant to these Media Terms.
Nothing contained in these Media Terms shall be construed as:
- transferring copyright ownership to the Customer;
- creating joint authorship;
- creating a work made for hire;
- creating a partnership;
- creating a joint venture; or
- granting any ownership interest in any Recording.
The Customer acknowledges that payment for a Private Keepsake Video compensates STFD LLC solely for performing the requested Media Services and granting the limited license described in Section 5.
Payment does not transfer copyright ownership or any other intellectual property rights in the Recording.
9. Derivative Works
Plushophile retains the unrestricted right to edit, crop, shorten, expand, color-correct, caption, subtitle, translate, synchronize, combine with other media, add graphics, add music, remove portions, rearrange, reformat, remaster, archive, compile, create derivative works from, or otherwise modify any Recording.
Plushophile may use derivative works for any lawful business purpose, including but not limited to those described under Promotional Use.
Derivative works may be created using technologies existing now or developed in the future.
The Customer acknowledges that derivative works created by Plushophile remain the exclusive intellectual property of STFD LLC.
No separate approval shall be required for Plushophile to create or use derivative works authorized by these Media Terms.
10. Explicit Disclosure and Informed Consent
The Customer understands that Media Services involve the physical handling and interaction with the Modification Item.
During production of a Complimentary Promotional Video or Private Keepsake Video, the Modification Item may be:
- handled;
- worn;
- manipulated;
- positioned;
- adjusted;
- displayed;
- photographed;
- filmed; or
- otherwise interacted with by Plushophile personnel in accordance with the selected Media Services.
As a result of ordinary production activities, the Modification Item may be exposed to normal environmental conditions and substances commonly associated with handling and use, including but not limited to:
- human contact;
- perspiration;
- body fluids and oils;
- saliva;
- lubricants;
- cosmetic products;
- leather care products;
- cleaning products; and
- other substances commonly associated with ordinary handling, use and performance of services requested by the Customer.
By selecting any Media Services, the Customer expressly acknowledges that:
- the Modification Item may not be returned in the same sanitary condition in which it was received by STFD LLC;
- Media Services necessarily involve physical interaction with the Modification Item;
- these conditions have been fully disclosed before purchase of the Media Services; and
- the Customer knowingly and voluntarily consents to these conditions as part of the requested Media Services.
The Customer further acknowledges that these disclosures form a material part of the agreement between STFD LLC and the Customer and constitute informed consent to the ordinary handling of the Modification Item during production of the requested Media Services.
11. Customer Acknowledgment and Responsibility
By selecting any Media Services, the Customer acknowledges and agrees that the requested Recording necessarily involves physical interaction with the Modification Item.
The Customer further acknowledges and agrees that:
- the Modification Item may not be returned in the same sanitary condition in which it was received by STFD LLC;
- ordinary production activities may expose the Modification Item to conditions described in Section 10 of these Media Terms;
- Plushophile has fully disclosed the nature of the requested Media Services before purchase; and
- the Customer knowingly and voluntarily requests that Plushophile perform the selected Media Services under these conditions.
Following completion of the requested Media Services, the Customer acknowledges that it is the Customer's sole responsibility to:
- inspect the returned Modification Item before handling or use;
- clean, disinfect, sanitize, launder, or otherwise prepare the Modification Item before any future handling or use;
- determine whether the Modification Item is suitable for the Customer's intended future use; and
- take any precautions the Customer considers appropriate before possessing, handling, displaying, storing, or otherwise using the Modification Item.
The Customer voluntarily assumes the ordinary and reasonably foreseeable risks associated with receiving, handling, inspecting, cleaning, disinfecting, sanitizing, possessing, storing, displaying, transporting, or otherwise using the Modification Item following completion of the requested Media Services.
Except where prohibited by applicable law, STFD LLC shall not be liable for claims arising solely from the ordinary handling of a Modification Item during the performance of the requested Media Services, provided such handling is consistent with these Media Terms and the Media Services selected by and requested by the Customer.
Nothing contained in these Media Terms limits liability where such limitation is prohibited by applicable law.
12. Privacy
Plushophile respects the privacy of its Customers and handles Recordings in accordance with these Media Terms and the Privacy Policy.
Complimentary Promotional Videos
If the Customer selects a Complimentary Promotional Video, the Customer acknowledges that the resulting Recording is intended for Promotional Use as described in these Media Terms.
Such Recordings may be published publicly and may remain available through websites, social media platforms, digital archives, search engines, third-party services, or other media beyond the direct control of Plushophile.
Private Keepsake Videos
If the Customer purchases a Private Keepsake Video, Plushophile will use commercially reasonable efforts to treat the Recording as private and will not intentionally publish the Recording for Promotional Use unless the Customer subsequently provides separate written authorization.
Nothing contained in these Media Terms obligates Plushophile to permanently retain any Recording after delivery to the Customer.
Customers are encouraged to download and retain copies of any Recording promptly after delivery.
13. No Obligation to Produce a Recording
Media Services are discretionary services offered by Plushophile.
Selection or purchase of a Media Service does not guarantee that a Recording will be produced.
Plushophile reserves the right, in our reasonable discretion, to decline, suspend, postpone, discontinue, or cancel Media Services at any time, including but not limited to circumstances involving:
- technical difficulties;
- equipment failure;
- staffing limitations;
- scheduling conflicts;
- safety concerns;
- legal concerns;
- quality concerns;
- Modification Items that become ineligible for Modification Services;
- force majeure events; or
- any other circumstance that reasonably prevents production of a Recording.
If Plushophile determines that a purchased Private Keepsake Video cannot reasonably be produced before production begins, the Customer's Media Service fee will be refunded.
Plushophile shall have no obligation to recreate or reproduce a Recording that is lost, corrupted, damaged, or otherwise unavailable due to events beyond our reasonable control.
14. Revocation
Customers selecting the Complimentary Promotional Video option understand that the Promotional Release granted under these Media Terms is intended to be permanent.
Because STFD LLC may invest substantial time, labor, creativity, and expense in producing, editing, publishing, licensing, incorporating, archiving, or otherwise using a Recording, Customers acknowledge that Promotional Use may continue indefinitely.
Customers further acknowledge that Recordings may be:
- reproduced;
- redistributed;
- indexed by search engines;
- archived by third parties;
- incorporated into derivative works;
- included in printed materials;
- used in educational content; or
- otherwise preserved beyond the direct control of Plushophile.
Accordingly, Plushophile is under no obligation to remove, delete, discontinue, or cease using a Recording after Promotional Use has begun.
Although Plushophile may voluntarily consider future requests regarding Promotional Use, any such decision shall be made solely as a matter of business discretion and shall not create any contractual obligation.
Any voluntary removal or discontinuation of Promotional Use shall not affect Plushophile's ownership of the Recording or any rights previously granted under these Media Terms.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STFD LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO MEDIA SERVICES OR ANY RECORDING, INCLUDING BUT NOT LIMITED TO:
- loss of business;
- loss of profits;
- loss of goodwill;
- emotional distress;
- reputational harm;
- loss of opportunity;
- diminution in value;
- replacement costs;
- data loss; or
- any similar damages.
Except where a different limitation is required by applicable law, STFD LLC's maximum aggregate liability arising from any Media Services or Recording shall not exceed the lesser of:
- One Hundred United States Dollars (US $100.00); or
- the total Media Service fees actually paid by the Customer.
Where Media Services are provided without charge as a Complimentary Promotional Video, Plushophile's aggregate liability shall not exceed One Hundred United States Dollars (US $100.00), except where prohibited by applicable law.
Nothing contained in these Media Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
The liability limitations contained in these Media Terms shall be interpreted together with the Terms of Service and, where applicable, the Modification Services Terms, with the more specific provision governing the applicable Media Services.
16. Intellectual Property
All Recordings and all associated intellectual property created by STFD LLC in connection with the Media Services remain the exclusive property of STFD LLC.
This includes, without limitation:
- copyrights;
- neighboring rights;
- design rights;
- trademark rights;
- trade dress;
- proprietary editing techniques;
- production methods;
- creative concepts;
- graphics;
- animations;
- captions;
- thumbnails;
- compilations;
- derivative works;
- metadata;
- source files; and
- all other intellectual property embodied in or associated with any Recording.
Nothing contained in these Media Terms transfers ownership of any intellectual property rights to the Customer.
Except for the limited license expressly granted in Section 5, the Customer acquires no ownership, copyright, trademark, licensing, publication, reproduction, distribution, commercialization, or other intellectual property rights relating to any Recording.
Nothing contained in these Media Terms limits STFD LLC's right to independently create, develop, photograph, film, record, edit, publish, license, or otherwise exploit creative works, concepts, techniques, production methods, or media that may be similar to, inspired by, or incorporate general ideas reflected in the requested Media Services, provided that Plushophile does not violate the Customer's separate contractual rights or disclose confidential information.
All rights not expressly granted to the Customer are reserved exclusively by STFD LLC.
17. Refunds
Refunds relating to Media Services are governed by these Media Terms, the Terms of Service, the Modification Services Terms, and the Return & Refund Policy.
Unless otherwise required by applicable law:
- Complimentary Promotional Videos have no cash value and are not eligible for refund, credit, or substitution.
- Private Keepsake Video fees become non-refundable once production of the requested Recording has begun.
- Media Service fees are non-refundable where production has been substantially completed.
- No refund shall be issued solely because the Customer later withdraws interest in receiving a Recording after production has begun.
If Plushophile determines, before production begins, that a purchased Private Keepsake Video cannot reasonably be produced, the applicable Media Service fee will be refunded.
Where a refund is authorized, Plushophile may deduct any amounts expressly permitted under these Media Terms, the Terms of Service, or applicable law.
Nothing contained in these Media Terms limits any consumer rights that cannot legally be waived.
18. Governing Law
These Media Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Except where disputes are required to be resolved through binding arbitration pursuant to the Terms of Service, the parties agree that the state and federal courts located in Sacramento County, California shall have exclusive jurisdiction over any dispute arising out of or relating to these Media Terms.
The arbitration provisions, class action waiver, limitation of liability provisions, and related dispute resolution procedures contained in the Terms of Service are incorporated into these Media Terms by reference as though fully set forth herein.
Nothing contained in this section limits any rights or remedies that cannot legally be waived under applicable law.
19. Entire Agreement
These Media Terms, together with the Terms of Service, Modification Services Terms, Privacy Policy, Shipping Policy, Return & Refund Policy, and any additional agreements expressly incorporated by reference, constitute the complete agreement between STFD LLC and the Customer regarding Media Services.
These Media Terms supersede all prior or contemporaneous discussions, negotiations, representations, understandings, communications, or agreements relating specifically to Media Services.
The parties intend these documents to be interpreted together to the maximum extent possible.
If an inconsistency remains after interpreting the documents together, the agreement that more specifically governs the applicable subject matter shall control.
If any provision of these Media Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver of any provision shall be effective unless made in writing and signed by an authorized representative of STFD LLC.
The failure of STFD LLC to enforce any provision of these Media Terms shall not constitute a waiver of that provision or any other provision.
